Account Agreement General Terms and Conditions

1. Applicant represents that the above information is true and is given to induce Precision Mix Concrete LLC to extend credit to the Applicant. Applicant's company and I authorize you to make such credit investigation as you see fit, including contacting the above trade references and banks and obtaining credit reports. Applicant's company and I authorize all trade references, banks, and credit reporting agencies to disclose to you any and all information concerning the financial and credit history of my company and myself. I have read and agree to the terms and conditions of this Account Agreement.

2. This Account Agreement contains the entire agreement between the parties and supersedes all prior agreements and understandings, both oral and written, between Applicant and Precision Mix Concrete LLC with respect to the subject matter of this Account Agreement. This Account Agreement is not subject to oral modification or cancellation.

3. Interest of 1.5% per month will be added to all amounts invoiced if not paid within 30 days from the date of the invoice. Failure to object in writing to the amount shown due on any invoice or statement, or to the quality, quantity, or any other aspect of the goods/services represented by any invoice, within thirty (30) days of the date of invoice, will constitute acceptance of the accuracy of any such amount shown on said invoice.

4. No additional credit will be extended to past due accounts unless satisfactory arrangements are made in writing with our credit department.

5. Applicant agrees to pay attorneys' fees of fifteen (15%) percent of the total principal and interest, or actual attorney's fees incurred, whichever is greater, and all costs of collecting or attempting to collect or secure any and all debts which Applicant now owes or which Applicant may in the future owe Precision Mix Concrete LLC for goods sold or services rendered.

6. Applicant hereby waives any defense of personal jurisdiction or venue in any legal action arising out of or in any way related to this Account Agreement and further agrees and consents to jurisdiction and venue in the state courts of Chatham County, Georgia. Applicant further agrees and consents that Georgia law shall govern this Account Agreement.

Personal Guaranty

For and in consideration of credit or indulgence extended by Precision Mix Concrete LLC to the Applicant identified on the Account Agreement appearing above, which Account Agreement is incorporated herein by this reference so as to identify the Applicant as primary debtor to which this guaranty applies, I/we hereby, absolutely and unconditionally guaranty, jointly and severally, as surety, any and all obligations of the Applicant, including service charges/interest and attorneys' fees as provided for by the Account Agreement, which are now or may hereafter become due.

Notice of acceptance, protest, presentment, demand for payment, notice of default or non payment and of dishonor are hereby waived. No release of the undersigned shall arise from any action of Precision Mix Concrete LLC, which but for this provision, would be deemed a legal or equitable discharge of a surety or guarantor, by this reason of any waiver, extension, modification, forbearance or delay or any other act or omission of Precision Mix Concrete LLC, or, whether or not such act expressly waives or surrenders any defense to liability based upon any of the foregoing acts, omissions, agreements or waivers, it being the purpose and intent of the undersigned that the covenants recited herein are absolute, unconditional, and irrevocable.

I/we hereby waive any defense of personal jurisdiction or venue in any legal action arising out of this Personal Guaranty, and further agree and consent to jurisdiction and venue in the state courts of Chatham County, Georgia. This Personal Guaranty is not subject to oral modification or cancellation. All notices to Precision Mix Concrete LLC shall be in writing and sent by certified mail and shall be effective only upon receipt.
